1.    Scope

These GTC apply to all contractual relationships between Arctivis GmbH, 6312 Steinhausen, Switzerland (hereinafter “Arctivis”) and its clients in connection with consulting, analysis, and training services.

2.    Conclusion of Contract

A contract is concluded upon written acceptance of an offer by the client or upon written confirmation of an order by Arctivis. Amendments and supplements must be made in writing.

3.    Services Provided by Arctivis

Arctivis provides services in the areas of consulting, process management optimization, data analysis, interface management, and training within the agreed scope. Arctivis reserves the right to adjust methods or assigned personnel, provided that this does not negatively impact the project outcome.

4.    Client Obligations

The client shall provide all necessary information, documents, and access in a timely and complete manner. Delays or performance limitations resulting from failure to fulfill these obligations are not the responsibility of Arctivis.

5.    Pricing, Billing and Payment Terms

The prices stated in the respective offer or contract shall apply. Expenses (e.g., travel, accommodation, meals) are billed separately. Invoices are issued monthly and are payable within 30 days net.

6.    Service Modifications

Changes to the agreed scope of services require the written consent of both parties. Arctivis will inform the client in advance of any potential impacts on schedule and costs.

7.    Contract Duration and Termination

Contracts without a fixed term may be terminated by either party with 30 days’ notice to the end of the month. Deviating termination periods apply as per individual agreement in the offer or contract.

8.    Quotation Fee

Arctivis charges a one-time fee of CHF 150 for preparing a quotation. This amount will be credited to the client upon successful conclusion of a contract and offset against the first project invoice.

9.    Cancellation and Rescheduling

Cancellations up to 4 calendar weeks before the project start are free of charge. Later cancellations trigger according fees (details included in both offer and contract).

Rescheduling is subject to mutual agreement. There is no entitlement to successful short-term rescheduling.

10. Intellectual Property

All concepts, documents, process designs, flowcharts, source code, configurations, and other deliverables created during the project remain the intellectual property of Arctivis.

The client is granted a non-exclusive, non-transferable, and perpetual right of internal use. Any disclosure or third-party use requires written consent. Non-client-specific elements may be reused by Arctivis.

11. Confidentiality

Both parties agree to maintain confidentiality regarding all information received during the project. This obligation remains in effect after project completion.

12. Liability

Arctivis is liable only for direct damages caused intentionally or through gross negligence. Liability for indirect or consequential damages is excluded. Liability is in any case limited to the value of the contractually agreed services.

13. Data Protection

The processing of personal data is carried out in accordance with the applicable data protection laws of Switzerland (in particular the FADP). Further details are provided in the separate privacy policy.

14. Final Provisions

Should any provision of these GTC be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. A provision that most closely reflects the economic purpose of the invalid provision shall apply instead.

The latest offer accepted by the client forms an integral part of the contract. In the event of conflicts between the GTC and the offer, the written contract or offer shall prevail.

Place of jurisdiction is Steinhausen, Switzerland. Swiss law exclusively applies.

Legal Note: In the event of discrepancies between the German and English versions of these GTC, the German version shall prevail.
